1. Who we are and what this site is

This website is operated by Exemptly Inc. ("Exemptly," "we," "us"). Exemptly is a software company building a document-assembly and filing-support platform for offerings under SEC Regulation D. This site is a pre-launch informational page: it describes a product in development, offers free educational tools, and lets prospective customers join a waitlist. By using the site you agree to these Terms of Use and to the Privacy Policy.

2. Not a law firm; no legal advice; no attorney-client relationship

Exemptly is not a law firm and does not provide legal, investment, tax, or accounting advice. Nothing on this site, in the free tools, in the interactive demo, or in any communication from us constitutes legal advice, and no attorney-client relationship is created by using this site or joining the waitlist. The free tools and demo produce general educational information only and are not tailored legal analysis of any offering. You should consult a licensed attorney about your specific circumstances. Where an attorney review is described as part of a future offering, that review would be provided by a law firm under its own separate engagement with you, not by Exemptly.

3. No offer of securities

Nothing on this site is an offer to sell, or a solicitation of an offer to buy, any security, and nothing on this site is a recommendation of any investment. Exemptly is not a broker-dealer, escrow agent, funding portal, or investment adviser, does not hold or transmit investor funds, and does not participate in any securities transaction. 4. The waitlist and founding-member program

Joining the waitlist is free and creates no payment obligation. The founding-member program described on this site (including pricing, the price lock, and the first-raise attorney review) is a description of an intended future offering, limited to 50 participants, and is subject to change, conditioning, or cancellation before launch, including changes required by legal or regulatory review. A waitlist submission reserves your place in line; final founding-member terms will be presented for your acceptance before any purchase. We may decline or remove any waitlist entry at our discretion.

5. Forward-looking statements

Statements about product features, pricing, timelines, and availability describe our current plans for a product in development and may change without notice.

6. Acceptable use

You agree not to misuse the site, including by scraping at scale, attempting to breach security, submitting false information, uploading malicious code, or using the site to violate any law. The interactive demo uses sample data only; do not submit real confidential deal information through it.

7. Intellectual property

The site, its content, design, and the Exemptly name and logo (used here as a working brand) are owned by us or our licensors. You may view and print pages for your own evaluation; all other rights are reserved.

8. Third-party services and links

The site is hosted and its forms are processed by third-party providers (see the Privacy Policy). Links to third-party sites, including SEC resources, are provided for convenience; we are not responsible for their content.

9. Disclaimer of warranties

The site, tools, and demo are provided "as is" and "as available," without warranties of any kind, express or implied, including accuracy, completeness, merchantability, fitness for a particular purpose, and non-infringement. Regulatory information may become outdated; verify current requirements before relying on anything here.

10. Limitation of liability

To the maximum extent permitted by law, Exemptly and its members, officers, and agents will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost opportunities, arising out of your use of this pre-launch site, and our total aggregate liability arising out of this site will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations; in those jurisdictions these limits apply to the fullest extent permitted.

11. Governing law and disputes

These terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Any dispute arising out of this site will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to their jurisdiction.
